End-User License Agreement (EULA) of BP1 AI

This End-User License Agreement ("EULA") is a legal agreement between you and BUSINESSPROCESS INC.

This EULA agreement governs your acquisition and use of our BP1 AI software ("Software") directly from BUSINESSPROCESS INC. or indirectly through a BUSINESSPROCESS INC. authorized reseller or distributor (a "Reseller").

Please read this EULA agreement carefully before completing the installation process and using the BP1 AI software. It provides a license to use the BP1 AI software and contains warranty information and liability disclaimers.

If you register for a free trial of the BP1 AI software, this EULA agreement will also govern that trial. By installing and/or using the BP1 AI software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.

This EULA agreement shall apply only to the Software supplied by BUSINESSPROCESS INC. herewith regardless of whether other software is referred to or described herein. The terms also apply to any BUSINESSPROCESS INC. updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant

BUSINESSPROCESS INC. hereby grants you a non-transferable, non-exclusive licence to use the BP1 AI software in accordance with the terms of this EULA agreement.

You are permitted to install the BP1 AI software under your control. You are responsible for ensuring your internet browser and necessary software meet the minimum requirements of the BP1 AI software.

You are not permitted to:

  • Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things.
  • Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose.
  • Allow any third party to use the Software on behalf of or for the benefit of any third party.
  • Use the Software in any way which breaches any applicable local, national or international law.
  • Use the Software for any purpose that BUSINESSPROCESS INC. considers is a breach of this EULA agreement.

Intellectual Property and Ownership

BUSINESSPROCESS INC. shall at all times retain ownership of the Software as originally downloaded (installed) by you and all subsequent downloads (installations) of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made there to) are and shall remain the property of BUSINESSPROCESS INC.

BUSINESSPROCESS INC. reserves the right to grant licences to use the Software to third parties.

Termination

This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to BUSINESSPROCESS INC.

It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.

API Access and Programmatic Use

You may access the Software programmatically via (a) personal API tokens issued in Settings → Connectors and (b) third-party applications you authorise via OAuth 2.1, including the BP1 AI MCP connector. All programmatic access is subject to this agreement.

You agree:

  • not to share API tokens — each token is bound to a single (workspace, user) pair and revealing it grants the bearer your privileges within that scope;
  • to rotate or revoke tokens promptly upon suspected compromise;
  • not to use programmatic access to circumvent quota, rate-limit, or plan restrictions, including by automating account creation;
  • to abide by the published rate limits (120 calls per minute per token by default), which may change with notice on https://bp1.ai/docs/mcp;
  • to keep all redirect URIs registered for OAuth clients accurate and under your sole control.

We may suspend or revoke any token without notice if we reasonably believe it is being used in violation of this agreement or to harm the Service.

Third-Party Connectors and the Model Context Protocol (MCP)

The Software exposes a Model Context Protocol (MCP) interface that allows third-party AI hosts (such as Claude, ChatGPT, and IDE assistants) to invoke tools on your behalf within the scopes you grant. By authorising a third-party host:

  • you authorise that host to act on your behalf within the granted scopes for the lifetime of the access token;
  • you understand that data returned by an MCP tool call is transmitted to the authorised host and may be processed there under that host's terms;
  • you remain responsible for the outputs of the host, including any actions performed via destructive tools (create, update, delete);
  • BUSINESSPROCESS INC. is not a party to your agreement with the third-party host and does not endorse any specific host.

You may revoke any connector at any time at Settings → Connected apps.

AI-Generated Content

The Software uses third-party AI providers (currently Anthropic Claude and Google Gemini) to generate diagrams, text descriptions, and analyses. AI-generated content:

  • is provided "as is" without warranty of correctness, completeness, or fitness for purpose;
  • does not constitute legal, regulatory, or compliance advice;
  • must be reviewed by a qualified human before any operational, contractual, or regulatory use, including ISO 9001 audit submissions;
  • counts against your plan's monthly quota at the moment of generation, regardless of acceptance.

You retain ownership of the inputs you provide and of the AI-generated outputs you keep, subject to the rights you grant us to operate the Service.

Service Availability

We aim for high availability but do not guarantee an uptime SLA on plans below "Custom". Scheduled maintenance windows are announced in advance via in-app notification or status page. Beta and preview features (including new MCP tools) may be modified or withdrawn at any time.

Data Export and Termination

You may export your workspace data (diagrams as XML) at any time via the in-app export feature or by calling the corresponding API/MCP tools.

Upon termination of your account or non-payment past the grace period, we will retain your data for 30 days during which export remains possible, and then permanently delete it (subject to backup-rotation lifecycles of up to 90 days).

Prohibited Uses (API and MCP)

In addition to the restrictions in the License Grant section above, you may not use the API or MCP interface to:

  • generate, store, or distribute content that violates applicable law, including export-control, sanctions, or intellectual-property laws;
  • attempt to extract weights, system prompts, or training data of the underlying AI models;
  • subject the Service to load tests, denial-of-service attempts, or vulnerability scans without prior written agreement;
  • impersonate BUSINESSPROCESS INC. or imply endorsement of derivative products or services without written permission.

Governing Law

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Delaware, United States.
